Coaching Terms and Conditions

These Coaching & Consulting Terms (“Service Terms”) apply to 1:1 coaching calls, coaching offers paired with The Creative Business Accelerator course, and consulting projects offered by Spirit & Thread Crochet LLC d/b/a The Creative Business Accelerator (“Company,” “we,” “us,” or “our”).

By purchasing, booking, or participating in any coaching or consulting service, you agree to these Service Terms, along with our Terms of Service, Privacy Policy, Disclaimer, and any offer-specific sales page, checkout page, invoice, or written proposal. If there is a conflict, the more specific offer terms will control for that service.

1. What These Services Are

We offer educational coaching and consulting support for creative business owners and makers. Depending on the offer, services may include strategy calls, feedback, audits, action plans, spreadsheets, checklists, recommendations, and related business support materials.

Some offers are framed as coaching, and some may include consulting-style feedback or deliverables. For simplicity, these terms apply to both.

All services are educational and informational in nature. They are designed to help you think through your business, make decisions, and take action, but they are not a substitute for legal, tax, accounting, bookkeeping, financial, therapeutic, or other licensed professional advice.

2. No Professional Advisory Relationship

Your purchase or participation in coaching or consulting does not create an attorney-client, accountant-client, fiduciary, therapy, employment, agency, partnership, or joint venture relationship.

We are not acting as your lawyer, CPA, bookkeeper, financial advisor, therapist, or licensed professional unless we expressly agree otherwise in a separate written contract.

You remain responsible for getting qualified professional advice for your specific legal, tax, accounting, financial, or compliance needs.

3. Session Format

Standard 1:1 sessions are 60 minutes unless otherwise stated on the sales page, checkout page, invoice, or written agreement.

Sessions may be held by Google Meet or phone, at our discretion or as agreed for a specific offer.

4. Recording Permission

Sessions are recorded only with permission.

If a session is recorded with your permission, we may provide the recording and a recap for your personal or internal business use only. You may not reproduce, sell, publish, distribute, or share recordings or recaps outside your business without our written permission.

5. Scheduling, Rescheduling, and Cancellations

You are responsible for booking and attending your session at the agreed time.

We ask for at least 24 hours’ notice if you need to cancel or reschedule.

If you arrive more than 15 minutes late, the session will be treated as a no-show and the session will be forfeited.

We may, at our discretion, offer one courtesy reschedule for a missed session due to an emergency or unexpected circumstance. Courtesy reschedules are not guaranteed and are offered case by case.

If we need to reschedule a session, we will do so as promptly as reasonably possible at no additional cost to you.

6. No-Show Policy

If you do not attend a scheduled session, or if you are more than 15 minutes late, the session is considered a no-show.

No-shows are generally nonrefundable and forfeit the session, subject to the one courtesy reschedule described above.

7. Payment Terms

Services are paid in full in advance, unless we expressly agree otherwise in writing.

All payments are processed through third-party payment processors or invoicing platforms, and their terms and policies may also apply.

Unless otherwise stated in writing, coaching and consulting services are nonrefundable once booked.

If we agree to custom payment terms for a particular client or project, those terms will control for that specific arrangement.

8. Support Between Calls

Some offers may include follow-up notes, recap emails, or support between sessions.

For offers that include The Creative Business Accelerator course plus coaching, follow-up notes and recaps may be included as described on the sales page, checkout page, invoice, or written agreement.

For ongoing coaching offers, the level of support between calls may vary depending on the tier or package selected. Different offers may include different levels of access, communication, feedback, review, or follow-up support. The specific support included in your offer will be described on the applicable sales page, checkout page, invoice, proposal, or written agreement.

Unless otherwise stated in writing, support between calls is limited to the scope of the purchased offer and subject to a response window of up to 2 business days.

Support between calls is intended for brief follow-up questions, clarifications, and continued momentum. It does not include unlimited access, emergency response, or open-ended done-for-you services unless explicitly stated otherwise.

9. Client Responsibilities

You are responsible for your own participation, decisions, implementation, business operations, and results.

You agree to:

  • show up on time

  • provide accurate and complete information

  • review materials and follow-up notes in a timely manner

  • use your own judgment before implementing any strategy or recommendation

  • seek qualified professional advice where needed

Your results depend on many factors outside our control, including your effort, timing, experience, market conditions, pricing, audience, follow-through, expenses, and business model.

10. No Guarantees

We do not guarantee any specific result, income level, sales outcome, audience growth, profit, business success, legal compliance, tax outcome, or other measurable result from coaching or consulting services.

Any examples, testimonials, case studies, or illustrations are for informational purposes only and do not guarantee similar results.

11. Scope of Support

We may review documents, numbers, systems, screenshots, workflows, or other business materials you choose to share with us in order to provide educational feedback and recommendations.

However, unless explicitly stated in writing, services do not include:

  • legal advice

  • tax advice

  • filing legal or tax forms on your behalf

  • representation before any agency or authority

Any discussion of those subjects is educational only.

12. Deliverables and Turnaround

Depending on the offer, we may provide custom materials such as action plans, audits, feedback documents, spreadsheets, or checklists.

Turnaround times may vary based on the service and the completeness of the information you provide. If you delay in providing needed materials, access, answers, or context, our turnaround timeline may also be delayed.

Unless otherwise stated, custom deliverables are provided once and are not subject to unlimited revisions.

13. Intellectual Property and Internal Business Use

All materials we provide — including recordings, recaps, action plans, audits, templates, spreadsheets, checklists, frameworks, and other deliverables — remain our intellectual property unless we expressly state otherwise in writing.

You are granted a limited, non-exclusive, non-transferable license to use custom deliverables and service materials within your own business for your internal business purposes only.

You may not:

  • sell, sublicense, publish, or redistribute our materials

  • share them publicly

  • use them to teach, coach, train, or advise others as your own materials

  • copy them into a competing course, program, template, service, or resource

14. Confidentiality and Business Information

We respect the private nature of the information you share with us and will use reasonable care in handling it.

That said, coaching and consulting communications are not legally privileged, and no special protected professional confidentiality relationship is created by your participation.

We may use contractors, software providers, scheduling tools, email tools, meeting platforms, storage tools, and other service providers to operate our business and deliver services, subject to our Privacy Policy.

You should avoid sharing highly sensitive information unless it is reasonably necessary for the service.

15. Client Conduct

We reserve the right to refuse, pause, or end services if you:

  • fail to pay as agreed

  • repeatedly miss or reschedule sessions

  • behave in a rude, abusive, threatening, or inappropriate manner

  • request services outside the agreed scope

  • misuse our materials

  • engage in fraudulent, unlawful, or unethical conduct

If services are terminated due to your violation of these terms, you may forfeit any remaining sessions, access, or deliverables to the fullest extent permitted by law.

16. Termination

We may end or pause services at any time if continuing the engagement becomes impractical, inappropriate, unsafe, outside scope, or inconsistent with these terms.

You may choose to stop participating at any time, but unless otherwise required by law or expressly stated in writing, payments already made are nonrefundable once services are booked.

17. Disclaimer of Warranties

Coaching and consulting services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We make no warranties, express or implied, regarding availability, completeness, usefulness, suitability, or fitness for a particular purpose.

18. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, special, punitive, or reliance damages arising out of or related to your participation in coaching or consulting services, use of deliverables, or implementation of any recommendations.

19. Governing Law

These Service Terms are governed by the laws of the State of New York and the United States of America, without regard to conflict of law principles.

Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Monroe County, New York, unless applicable law requires otherwise.
